Welcome to Maison by Mariam.

These Terms & Conditions govern the use of the Maison by Mariam website and, where applicable, the provision of our B2B private-label fragrance, perfume, cosmetics manufacturing, product development, packaging, sourcing, and related services.

By accessing our website, submitting an enquiry, requesting a quotation, placing an order, using our B2B digital services, or engaging Maison for services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

These Terms & Conditions should be read together with any applicable quotation, proposal, order confirmation, commercial agreement, manufacturing agreement, NDA, invoice, or other written terms agreed between Maison and the client.

Where a specific written agreement contains terms that differ from these Terms & Conditions, the specific written agreement will prevail for that project to the extent of the inconsistency.

  1. OUR SERVICES

Maison by Mariam provides B2B services that may include:

Private-label perfume and fragrance manufacturing
Fragrance development and customization
Product development and formulation
Filling, assembly, packing, and related manufacturing services
Private-label cosmetics manufacturing
Packaging and product presentation
Product and packaging sourcing
Manufacturing and production support
Quality and compliance support
Other services specifically agreed with the client

The exact scope of services provided to each client will be determined by the applicable quotation, proposal, order confirmation, commercial agreement, or written agreement.

Maison reserves the right to modify, improve, or discontinue services from time to time.

  1. QUOTATIONS & COMMERCIAL OFFERS

Quotations and commercial offers are prepared based on the information, specifications, quantities, materials, packaging, services, and assumptions available to Maison at the time of quotation.

Unless expressly stated otherwise:

Quotations are not binding orders.
Prices are based on the specifications stated in the quotation.
Changes to specifications, quantities, materials, packaging, or services may result in revised pricing.
Quotations may be subject to a validity period stated in the quotation.
Availability of materials and components is not guaranteed until an order is formally confirmed.
Taxes, duties, shipping, customs, registration fees, or other charges will be handled according to the applicable quotation or commercial agreement.

A quotation becomes commercially binding only when accepted and confirmed in accordance with the applicable commercial terms.

  1. ORDERS & ORDER CONFIRMATION

An order becomes binding when Maison has formally confirmed the order in writing and/or when the required payment has been received, as specified in the applicable commercial terms.

Maison may decline or defer an order where:

Required information is incomplete
Required materials are unavailable
Specifications cannot reasonably be fulfilled
Regulatory or compliance concerns arise
Payment requirements have not been satisfied
The requested product or activity is inconsistent with applicable law
The requested product or activity is outside Maison’s capabilities

Once an order is confirmed, changes requested by the client may affect the price, production schedule, materials, quantities, and delivery date.

All material changes must be approved in writing.

  1. B2B DIGITAL SERVICES & ONLINE ORDERS

Maison may provide B2B clients with online accounts, client portals, digital ordering systems, quotation systems, approval platforms, or other digital services.

Where available, these services may allow clients to:

Submit enquiries
Request quotations
Review commercial information
Place or confirm orders
Upload artwork and documents
Review samples or specifications
Approve production requirements
Track project or order status
Access invoices or other business records

Electronic submissions, approvals, confirmations, and records may be treated as valid business instructions where permitted by applicable law and the applicable commercial agreement.

Clients are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their authorized account.

Clients must immediately notify Maison if they believe their account has been accessed without authorization.

Maison may suspend or restrict access to digital services where reasonably necessary for security, non-payment, misuse, technical maintenance, or legal or regulatory reasons.

  1. MINIMUM QUANTITIES & PROJECT REQUIREMENTS

Certain products, packaging components, raw materials, manufacturing processes, or services may be subject to minimum order quantities (“MOQ”), minimum production requirements, or minimum project values.

Where applicable, the relevant MOQ or project requirement will be stated in the quotation or commercial agreement.

Maison may not be able to accommodate quantities below the applicable production or procurement requirements.

  1. BESPOKE & PRIVATE-LABEL PRODUCTS

A significant portion of Maison’s services involves customized and private-label products.

For such projects:

Production will be based on the final specifications approved by the client.
Approved samples, artwork, packaging, product specifications, and other production references will form the basis of manufacturing.
Changes requested after approval may result in additional costs and production delays.
Client-specific materials or components may be procured specifically for the project.
Customized products may not be cancelled, returned, or resold by Maison once production or project-specific procurement has commenced, except where expressly agreed in writing or required by applicable law.
Where materials have been purchased specifically for a client, the client may remain responsible for those costs in accordance with the applicable commercial agreement.

Where a client requests a material change after production or procurement has commenced, Maison will assess the impact and communicate any applicable additional costs and timeline changes.

  1. PRODUCT, ARTWORK & SPECIFICATION APPROVAL

The client is responsible for reviewing and providing final written approval of applicable:

Product specifications
Fragrance selection
Samples
Formulations where provided for approval
Artwork and graphic files
Labels
Packaging
Product names
Product descriptions
Quantities
Product claims
Brand information
Other production specifications

Maison will proceed based on the client’s final approved specifications.

Approval provided by an authorized client representative will be considered the client’s confirmation to proceed.

The client is responsible for ensuring that all trademarks, logos, claims, artwork, product information, and other materials supplied to Maison are accurate and legally authorized for use.

Any errors contained in client-approved materials may remain the client’s responsibility where Maison has manufactured according to the approved specifications.

  1. PAYMENTS

Payment terms will be stated in the applicable quotation, order confirmation, commercial agreement, or invoice.

Unless otherwise agreed in writing, Maison may require advance payment before procurement, production, or project commencement.

Where agreed commercial terms require staged payments, production and procurement may be dependent on receipt of each applicable payment.

If a required payment becomes overdue, Maison reserves the right to:

Suspend work
Delay procurement
Delay or suspend production
Withhold finished goods
Delay delivery
Suspend access to applicable digital services
Revise applicable production or delivery timelines

Maison is not required to continue procurement, production, or delivery while material payment obligations remain outstanding, unless otherwise agreed in writing.

Any delay in payment may result in corresponding changes to procurement, production, and delivery timelines.

Bank charges, transfer fees, customs charges, taxes, duties, or other applicable costs will be allocated according to the applicable commercial agreement.

  1. RAW MATERIALS, PACKAGING & PROCUREMENT

Maison may procure raw materials, fragrance materials, bottles, closures, packaging components, labels, cartons, and other project-specific items based on the client’s approved specifications and confirmed order.

Where materials have been specifically purchased or committed for a client’s project, the client may remain responsible for the associated costs if the project is subsequently cancelled, materially changed, or placed on hold, subject to the applicable commercial agreement and applicable law.

Material availability may be affected by supplier lead times, market conditions, regulatory requirements, or circumstances outside Maison’s reasonable control.

  1. PRODUCTION & DELIVERY

Production and delivery timelines are estimates unless a specific timeline or delivery commitment has been expressly agreed in writing.

Estimated timelines may be affected by:

Client approval delays
Payment delays
Changes to specifications
Supplier or material delays
Packaging availability
Production capacity
Regulatory requirements
Customs procedures
Shipping or logistics disruptions
Events beyond Maison’s reasonable control

Maison will make reasonable efforts to communicate material delays and work toward the agreed delivery schedule.

A delay does not automatically constitute a material breach where the delay results from circumstances outside Maison’s reasonable control or from client-related delays.

  1. DELIVERY, INSPECTION & ACCEPTANCE

The client is responsible for providing accurate delivery information and ensuring that the receiving party is available to accept the shipment.

Upon delivery, the client should inspect the shipment for visible damage, shortage, or other apparent discrepancies.

Where applicable, any visible shortage or transport damage should be documented and reported within the period specified in the relevant commercial agreement.

Failure to report an apparent issue within the applicable period may affect the ability to investigate or process the claim.

  1. QUALITY & PRODUCT VARIATIONS

Maison maintains quality-control procedures appropriate to its manufacturing activities.

Certain products may contain natural ingredients, fragrances, oils, botanical materials, or other components that may naturally exhibit minor variations in colour, scent, appearance, viscosity, or other characteristics.

Minor variations may also arise from reasonable manufacturing or material tolerances.

Such variations will not necessarily constitute a defect where the finished product remains within the applicable approved specifications and quality requirements.

Specific specifications, tolerances, testing requirements, and acceptance criteria may be established in the applicable commercial agreement or product documentation.

  1. COMPLAINTS & QUALITY CLAIMS

Any shortage, visible damage, manufacturing concern, or quality complaint should be reported within the period specified in the applicable quotation, order confirmation, commercial agreement, or quality policy.

A claim should include sufficient supporting information, which may include:

Order or invoice reference
Product and batch information
Description of the issue
Photographs or videos
Quantity affected
Samples where reasonably required

Maison may request additional information or samples to investigate a claim.

Where a claim is determined to be valid, Maison will determine the appropriate corrective action in accordance with the applicable agreement and applicable law.

  1. REGULATORY & COMPLIANCE RESPONSIBILITIES

Maison will perform its agreed manufacturing and service obligations in accordance with applicable requirements relevant to its activities.

Depending on the project, regulatory responsibilities may include product registration, notification, documentation, testing, labeling, claims review, import requirements, export requirements, or market-specific approvals.

Responsibility for each regulatory requirement will be determined by the applicable project scope and written agreement.

The client remains responsible for ensuring that its trademarks, brand assets, product claims, marketing statements, and other client-supplied materials are legally authorized where such responsibility falls upon the client.

The client is responsible for providing accurate information regarding the intended market and destination of the products.

  1. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing:

Maison Intellectual Property

Maison retains ownership of its pre-existing intellectual property, including:

Maison branding
Website content
Proprietary methodologies
Manufacturing processes
Pre-existing concepts
Internal systems
Templates
Know-how
Proprietary business materials
Client Intellectual Property

The client’s trademarks, logos, brand assets, artwork, product names, and other materials supplied by the client remain the property of the client or their respective owners.

Project-Specific Intellectual Property

Ownership or licensing of specially developed:

Formulas
Fragrance compositions
Designs
Packaging concepts
Product concepts
Technical documentation
Other intellectual property

will be determined by the applicable written agreement.

No intellectual-property ownership is transferred merely because a client purchases manufacturing or development services.

  1. CLIENT MATERIALS & THIRD-PARTY RIGHTS

The client represents that it has the necessary rights, permissions, and authorizations to provide Maison with any materials, trademarks, artwork, formulas, instructions, content, or other intellectual property supplied for the project.

The client remains responsible for any third-party rights associated with materials supplied by the client.

The client agrees to notify Maison of any restrictions, licensing conditions, or third-party requirements relevant to materials provided for production.

  1. CONFIDENTIALITY

Maison respects the confidentiality of client information and project materials.

Confidential information may include:

Product concepts
Fragrance briefs
Formulations
Artwork
Packaging concepts
Commercial information
Pricing
Business plans
Client and supplier information
Manufacturing requirements
Other information identified as confidential or reasonably understood to be confidential

Confidential information will be handled in accordance with applicable confidentiality obligations and any separate NDA or confidentiality agreement between the parties.

Where a separate NDA or confidentiality agreement exists, its terms will govern the confidential information covered by that agreement.

  1. CLIENT RESPONSIBILITIES

The client is responsible for providing accurate, complete, and timely information necessary for the project.

The client must promptly review and approve documents, samples, artwork, specifications, and other project materials requiring approval.

The client is responsible for consequences arising from:

Inaccurate information
Incomplete information
Late approvals
Unauthorized materials
Incorrect artwork
Incorrect product claims
Changes requested after approval

Where such circumstances result in additional costs or delays, Maison may charge the applicable additional costs or revise the production timeline.

  1. WEBSITE USE

The Maison website is provided for general informational and business purposes.

You agree not to:

Use the website for unlawful or fraudulent purposes
Attempt unauthorized access to our systems
Interfere with website security or functionality
Introduce malicious software or harmful code
Copy or reproduce protected website content without authorization
Misrepresent your identity or business relationship with Maison
Submit false, misleading, or fraudulent information

Maison may restrict or suspend access to the website where reasonably necessary to protect its systems, users, or business interests.

  1. WEBSITE CONTENT & ACCURACY

Maison seeks to keep website information accurate and current; however, product descriptions, capabilities, availability, images, specifications, and other website content may be updated or changed without prior notice.

Website information does not constitute a binding quotation, product specification, warranty, or contractual commitment unless expressly confirmed in writing by Maison.

Specific commercial terms will be governed by the applicable quotation, order confirmation, or written agreement.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Maison will not be liable for indirect, incidental, special, exemplary, or consequential losses arising from or related to the use of our website or services.

Maison will not be responsible for losses resulting from circumstances outside its reasonable control, including supplier disruption, logistics failures, regulatory changes, customs delays, or client-caused delays.

Maison’s liability relating to a specific project will be subject to the applicable written agreement and applicable UAE law.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

  1. FORCE MAJEURE

Maison will not be considered in breach of its obligations where performance is prevented, interrupted, or materially delayed by circumstances beyond its reasonable control.

Such circumstances may include:

Natural disasters
Fire
Flood
Serious equipment failure
Government actions or restrictions
Regulatory changes
Supplier disruption
Raw material shortages
Transportation or logistics disruption
Epidemics or pandemics
War or armed conflict
Civil unrest
Cybersecurity incidents beyond reasonable control
Other events beyond Maison’s reasonable control

Maison will make reasonable efforts to mitigate the impact and resume performance as soon as reasonably practicable.

  1. SUSPENSION & TERMINATION

Maison may suspend or terminate services where there is:

Material non-payment
Material breach of agreed terms
Fraudulent or misleading activity
Misuse of Maison’s systems or services
Unlawful activity
Conduct that materially exposes Maison to legal, regulatory, financial, or reputational risk

Termination or suspension will not affect obligations, payments, costs, or liabilities that accrued before termination.

Client-specific termination and cancellation rights may be governed by the applicable commercial agreement.

  1. NO WAIVER

Failure by Maison to enforce any provision of these Terms & Conditions will not constitute a waiver of its right to enforce that provision or any other provision at a later time.

  1. SEVERABILITY

If any provision of these Terms & Conditions is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by applicable law.

  1. CHANGES TO THESE TERMS & CONDITIONS

Maison may update these Terms & Conditions from time to time to reflect changes in:

Our services
Business operations
Technology
Digital platforms
Manufacturing activities
Applicable laws and regulations

The latest version will be published on this website with its applicable effective date.

Specific contractual terms agreed with an individual client will continue to govern that project unless amended in writing.

  1. GOVERNING LAW & JURISDICTION

These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of the United Arab Emirates.

Any dispute arising in connection with these Terms & Conditions or Maison’s services shall be handled in accordance with the dispute-resolution and jurisdiction provisions contained in the applicable client agreement.

Where no specific dispute-resolution or jurisdiction provision has been agreed in writing, the dispute shall be subject to the jurisdiction of the competent courts of the relevant Emirate in the United Arab Emirates, subject to applicable law.
